VEON Group Holding Company Ltd had announced on September 08, 2025, its Intention to acquire controlling interest of TPL Insurance Limited (PSX:TPLI).

Arif Habib Limited, manager to the offer, has issued addendum to the offer dated December 16, 2025, wherein the acquirer has been changed and f finalized as Jazz International Holding Limited, a subsidiary of VEON Group.

Board of Directors of the TPL Corporation,Parent company of TPL Insurance, in its meeting held on December 17, 2025 at 11:00 a.m., has granted final approval for the transaction and approved the entering into a Share Purchase Agreement (SPA) with the Acquirer, the completion of which shall remain subject to obtaining all requisite approvals under applicable laws.
